I. Introduction of Dongfeng Cummins Engine Plant:
Dongfeng Cummins Engine Co., Ltd. (hereinafter referred to as “Dongfeng Cummins” or the “Company”) is located in the High-tech Industrial Development Zone of Xiangyang City, Hubei Province, China. It is a modern medium and heavy-duty engine manufacturing company jointly established by Dongfeng Motor Corporation and Cummins Inc. with a 50:50 equity ratio. The company was established in June 1996 with a registered capital of over $100 million and covers a total area of 26.23 hectares, employing 2,500 people.
The company’s products include B, C, D, L, Z series Cummins platform engines, which can meet the emission standards of National IV, National V for vehicles, and Non-Road National III, and have the capability to upgrade to National VI for vehicles and Non-Road National IV emission standards. The engine displacement ranges from 3.9L to 13L, with power ranging from 80 to 680 horsepower, widely used in light, medium, and heavy-duty trucks, medium and high-grade intercity buses, large and medium-sized city buses, construction machinery, marine main and auxiliary engines, power generators, and other fields. The products are widely praised by domestic and foreign users for their advanced economy, power, reliability, durability, and environmental safety. Cummins Inc. is the world’s largest company in the production, design, and sale of diesel engines and compressed natural gas engines, while Dongfeng Motor Corporation is one of China’s largest truck manufacturers. The cooperation between Cummins and Dongfeng Motor Corporation began in the 1980s when the country proposed to update the truck engine project and introduce world-leading products. Cummins keenly captured this message and successfully developed into a partner of Second Automobile Works, the predecessor of Dongfeng Motor Corporation. In 1986, Dongfeng Motor Corporation’s diesel engine plant began licensed production of Cummins mid-range B series engines. After the expiration of the production technology license agreement between the two companies, in June 1996, Dongfeng Motor Corporation and Cummins Inc. jointly established Dongfeng Cummins Engine Co., Ltd. with a 50:50 equity ratio.
In December 1999, Dongfeng Motor Corporation transferred its 50% shareholding in the company to Dongfeng Motor Corporation, which had been listed on the Shanghai Stock Exchange in July of the same year.

In February 2003, Dongfeng Cummins Engine Co., Ltd. increased its capital and expanded its shareholding, with a registered capital of $100 million. The company became a new joint venture company integrating the assets and management of Dongfeng Motor Corporation’s diesel engine branch, Cummins (Xiangyang) Machining Co., Ltd., a wholly-owned subsidiary of Cummins, and Dongfeng’s joint venture company for C series engines with Cummins.
